METRICLY – TERMS & CONDITIONS 

These Terms and Conditions (“Terms”) govern your access to and use of the Metricly website, platform, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. Please read them carefully.

  1. Acceptance of Terms By creating an account, clicking “I Agree,” or otherwise accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you may not use our Services.
  2. Description of Services Metricly provides a data analytics and metrics platform that enables businesses to collect, visualise, and analyse performance data. Features may include dashboard creation, report generation, integrations with third-party data sources, and team collaboration tools. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
  3. Eligibility You must be at least 16 years of age to use our Services. By using Metricly, you represent and warrant that you meet this requirement. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
  4. Account Registration To access most features, you must register for an account. You agree to provide accurate, current, and complete information during registration, maintain and promptly update your account information, keep your password confidential and not share it with third parties, notify us immediately at support@metricly.com of any unauthorised account use, and accept responsibility for all activities that occur under your account. We reserve the right to disable any account at our sole discretion if we believe you have violated these Terms.
  5. Subscriptions & Billing Some Services are offered on a subscription basis. By subscribing, you agree to pay the fees described at the time of purchase. Subscriptions are billed in advance on a monthly or annual basis depending on the plan selected. Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period. We may change subscription fees at any time with at least 30 days’ notice before any increase takes effect. Unless required by applicable law, all subscription fees are non-refundable. Refunds may be offered at our sole discretion on a case-by-case basis. If you sign up for a free trial, you will not be charged until the trial period ends. Cancel before the trial ends to avoid charges. Prices shown are exclusive of applicable taxes, which will be added where required by law.
  6. Acceptable Use You agree to use the Services only for lawful purposes. You must not violate any applicable laws or regulations, infringe the intellectual property rights of any party, transmit unsolicited or unauthorised advertising or promotional material, upload or transmit viruses, malware, or any other harmful code, attempt to gain unauthorised access to our systems or other users’ accounts, reverse-engineer, decompile, or disassemble any part of the platform, use automated tools to scrape or extract data from the Services without permission, or engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Services. Violations may result in immediate termination of your account and potential legal action.
  7. Intellectual Property All content, features, and functionality of the Metricly platform are owned by Metricly or its licensors and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes. You may not reproduce, distribute, modify, or create derivative works of any part of the Services without our prior written consent.
  8. Your Content You retain ownership of all data, content, and materials you upload or input into the Services (“Your Content”). By submitting Your Content, you grant Metricly a limited, worldwide, royalty-free licence to host, store, and process Your Content solely to provide the Services to you. You represent and warrant that you own or have the necessary rights to Your Content, that Your Content does not violate the rights of any third party, and that Your Content complies with all applicable laws and regulations. We are not responsible for the accuracy, completeness, or legality of Your Content.
  9. Disclaimers The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that results obtained from using the Services will be accurate or reliable.
  10. Limitation of Liability To the maximum extent permitted by applicable law, Metricly and its directors, employees, partners, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption. Our total aggregate liability to you shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) £100 (or local currency equivalent).
  11. Indemnification You agree to defend, indemnify, and hold harmless Metricly and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses arising from: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including intellectual property or privacy rights.
  12. Termination Either party may terminate this agreement at any time. You may terminate by cancelling your account through account settings or by contacting us. We may suspend or terminate your access immediately, without prior notice, for breach of these Terms. Upon termination, your right to use the Services ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.
  13. Governing Law These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable consumer protection law in your jurisdiction.
  14. Changes to Terms We reserve the right to modify these Terms at any time. We will provide at least 14 days’ notice of material changes via email or a prominent notice on our website. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
